Case Study – Orme View Care Home

We are delighted to report the successful acquisition of Orme View Care Home, by our client Orme View Care Home Limited. The acquisition took place mid-May, in the middle of the UKs lockdown period, and at a particularly worrying time for the care home sector.

Our client’s Managing Director, Marcus, had spent a considerable amount of time at the Home in the run up to the acquisition, and prior to lockdown. By doing this he was able to work with the retiring owners and learn about the enhanced policies and procedures they had put in place to minimise the risk of a Covid-19 outbreak in the Home.

On any acquisition, the legal due diligence process is extremely important as it enables a buyer to gain a valuable insight into the business being purchased, and, most importantly, it enables potential risks to be identified so they can be dealt with appropriately in the sale contract. Dawson Radford issued a thorough due diligence questionnaire, tailored specifically for this type of business. This ensured that we could provide a full and comprehensive report on the operations of the business, and enable our client to follow up on any areas of concern. This meant Marcus could buy with confidence and reassurance, knowing that the sellers had dealt with risk appropriately.

Speaking about the acquisition, Marcus commented “It has been very difficult to escape the media coverage of the current pandemic and in particular the impact on social care and the care home sector. The acquisition of any business comes with fear and excitement all rolled into one, the acquisition of Orme View was no different, particularly in the current climate. However, we are excited to finally complete the deal and with the help of working closely with the vendors and staff, we are pleased to confirm that we are all free from Covid-19 following recent tests. The team continues to work effortlessly to ensure to ensure we do all we can to keep it that way. I must pay particular thanks to Joanna Dawson and her team of professionals at Dawson Radford for all of the assistance and guidance they gave to me during the due diligence and completion of the acquisition, I felt reassured and well looked after throughout the complete process and we are looking forward to the future here at Orme View Care Home.”

On the acquisition of any business the legal due diligence process should always be taken seriously. We always advise our clients that “you do not know what you do not know” which is why we take the time to ask the right questions, and follow up until we get a satisfactory response. The collation of key documents also proves a useful aide memoir following completion, as all important documents are at hand, indexed and in one place. For many businesses, this has been particularly useful during the Covid-19 pandemic, particularly as regards accessing employee information quickly.

Orme View Care Home is located in the picturesque seaside town of Llandudno, Conwy, North Wales. We are set approximately 200 yards from the West Shore promenade and we enjoy spectacular views of the surrounding area, including the Great Orme as well as Anglesey and Conwy Mountain. The Home aims to provide residential care for adults of either sex within the following categories: Adult Persons (Personal Care) and Adult Persons (Day Care Services). Admission to the Home can be on a permanent or respite basis, provided an assessment determines that we are able to meet their needs.
